Description:
- Corporate Legal AssistantVaughan, ONOur client, a well known and highly regarded law firm, located in North Toronto is hiring! They are looking for a Corporate Legal Assistant to join its team. This is a full time permanent role.Responsibilities:
- Drafts all correspondence and letters to clients, accountants, etc. with respect to corporate matters
- Completes corporate minute books and enters information into corporate database
- Orders and reviews preliminary and full NUANS reports, Certificates of Status, Profile reports, etc.
- Prepares transactional documentation for corporate financing (bank) including but not limited to authorizing resolutions, general security agreements, Statutory Declarations etc.
- Drafts agreements, resolutions, and other corporate/commercial documents. Forwards to Lawyer for review and approval.
- Reviews corporate documentation including but not limited to Articles of Incorporation, Articles of Amendment, Continuance, Amalgamation, Dissolution, Revival, Initial Returns, Notices of Change when instructions have been received.
- Drafts the following documents; asset purchase/sale documents, shareholder agreements, articles, share transfers, as instructed. Forwards to Lawyer for review and approval.
- Completes transaction files as required including but not limited to; ordering corporate searches/due diligence, supplies, obtaining information, arranging for delivery/exchange of documents, arranging for necessary banking, drafting, and filing PPSA registrations when needed, providing accounting reports to clients and post-closing matters.
- Provides administrative support with respect to accounting and billing as required. This includes review of pre-bills, making corrections or advising Accounting to make corrections and mailing out final bill under a cover letter. Prepares expense requisitions etc.
- Maintains files in accordance with standard procedures, including opening and closing files, conflict searches, etc.
- Other business related duties as assignedThe successful candidate will demonstrate the following:
- A post-secondary diploma in a related Legal Administration and/or Law Clerk program or equivalent years of experience
- Experience in a similar position in a Corporate Law practice
- Proficiency with Microsoft Office, Fastco, Cyberbahn, and Legal Accounting software
- Excellent organization and time-management skills
- Ability to work independently, accurately, and efficiently on multiple files
- Excellent verbal and written communication skills
