Company Description
Bosch’s business in Vietnam includes the distribution of Bosch Power Tools, cameras, audio and conferencing equipment from its Building Technology division, automotive aftermarket parts, manufacturing and supply of OEM automotive parts, software development and implementation, and sale of components from its Drive and Control industrial business.
Bosch requires a temporary Legal Counsel to be based in Singapore to support legal work relating to Bosch’s business in Vietnam as its Vietnam legal counsel will be going on maternity leave. The position is required for the period from June 2024 to January 2025 (estimated period +/- 1 month). The temporary Legal Counsel will also be required to support the automotive aftermarket business across ASEAN for a few weeks during this period.
The temporary legal counsel will report to the General Counsel of South East Asia who is also based in Singapore. The temporary legal counsel will be supervised by a senior member of the legal team and will also have the support and guidance from the rest of the legal team in Singapore consisting of a total of 6 lawyers with matrix responsibilities serving the ASEAN region.
Where required, external legal advice may be obtained to cover specific legal issues.

Job Description

• Provide general legal advice and contract drafting/review support to Bosch legal entities and business units in Vietnam, including business licence and corporate compliance requirements.
• Identify and manage legal risks, litigation and disputes, including debt recovery matters.
• Provide internal training on legal and compliance matters.
• Draft and negotiate Vietnamese/global long term supply/purchasing contracts, distribution agreements, software implementation agreements, product trial agreements, etc.
• Instruct and liaise with external counsel and corporate secretarial service providers; manage services providers and related costs.
• Manage projects and undertake other duties as assigned by the General Counsel SEA, including providing legal support to business units in other South East Asian countries from time to time.

QUALIFICATIONS

• Holds a Bachelor of law from recognized universities in Singapore, Malaysia, or UK may apply. Candidates with a Bachelor of law degree from a recognized university in Vietnam, Juris Doctor or equivalent and have either obtained or is in the process of obtaining a licence from the Bar Association of Vietnam will be well regarded.
• Excellent command of the English. Ability to read and write Vietnamese languages will be an advantage.
• At least 6 years of relevant legal experience in corporate, contracts and litigation gained at a reputable law firm, ideally with some in-house legal experience (if possible, in multi-national corporations,) and prior work experience on legal matters in ASEAN countries.
• Experience in the following areas of law will be an advantage: technology, manufacturing, distribution, product liability, privacy and cybersecurity, M&A, intellectual property, environmental, anti-trust (competition) laws.
• Committed to support internal processes and best practices in good corporate governance and compliance matters.
• Good business acumen, resourceful, possess initiative, drive and flexibility to deliver value to the business.
• Good time management and organizational skills, able to prioritize and work effectively under pressure.
• Ability to work as part of a team, excellent interpersonal and communication skills.
• Willingness to travel (only if required, which should be rare).
