POSITION OVERVIEW

Reporting to the General Counsel, the Legal Counsel will be responsible for supporting one of Calian’s four business units and will be the primary point of contact for all legal inquiries from their assigned business unit. It is essential that Legal Counsel be business-minded, adopt a customer service mentality, and be able to work as a team to support the business units’ objectives. The role requires the ability to work in a fast-paced environment, multi-task competing demands, and exercise good judgment.

QUALIFICATIONS

  • J.D. or LL.B.
  • Licensed to practice law and a member in good standing with a provincial Law Society in Canada
  • 2-7 years post call experience
  • Corporate/Commercial and/or Employment experience are an asset
  • Strong reviewing, drafting and negotiation skills, with experience either in the context of litigation or contracts
  • Good interpersonal skills, with a commitment to collaboration and dedication to client service
  • Business acumen, with a view to supporting and growing the organization through the application of relevant skills and experience
  • Strong attention to detail and ability to analyze legal decisions, legislation and commercial agreements with an understanding of practical business implications
  • Ability to identify efficiencies and make recommendations to internal clients for continuous business growth and improvement with an ongoing commitment to excellence
  • Capacity to think strategically and assist in developing pragmatic solutions and approaches to complex business issues
  • Competence to work independently while understanding when to ask questions and seek guidance

Responsibilities:

  • Represent the Legal Team as the first point of contact for all queries from the assigned business unit
  • Work closely and collaborate with the business unit to provide legal advice and find practical solutions to a diverse range of questions including in the areas of contracts, compliance, M&A, employment, litigation, risk management, international expansion, intellectual property, insurance, and more
  • Support General Counsel and Senior Legal Counsel with a wide range of initiatives in the areas of corporate governance, securities, finance, commercial, privacy, and more
  • Draft, review, negotiate and interpret a variety of commercial agreements
  • Provide risk assessments
  • Provide due diligence capability to the company’s M&A function
  • Develop strategy and support litigation in various types of claims
  • Conduct legal research and analyze legal issues that affect the business in a variety of jurisdictions
  • Stay current with and advise the business on applicable laws, creating best practices, policies and training materials
  • Support the management and expansion of subsidiaries in Canada, US and Europe
