Responsibilities:

ABOUT THE ROLE

We’re looking for a Legal Counsel to join our Corporate Secretary’s Office team!
The role will be based in Toronto or Montreal and reporting to the Manager of Legal Affairs and Assistant Secretary in Montreal. In your role as Legal Counsel (Corporate Secretary’s Office), will be responsible for maintaining the organization’s corporate structure and corporate reorganizations, preparing and coordinating regulatory applications, developing and enhancing corporate governance practices and assisting on corporate transactions. You will provide guidance and influence on decision making at the operational, corporate and Board of Directors levels.

WHAT YOU’LL DO HERE:

  • Prepare legal documentation in connection with the maintenance of the corporate structure and corporate reorganizations with a view of rationalizing/improving the structure in conjunction with the evolution of IFC’s business strategies, and implementation in collaboration with various departments across the company.
  • Prepare and coordinate regulatory applications.
  • Develop and enhance corporate governance practices - specifically through the elaboration of Board processes and policies and disclosure practices.
  • Assist in the preparation, review and communication of Board of Directors and committee materials.
  • Assist on M&A and other transactions and corporate development.
  • Identify strategies to maximize efficiencies and achieve operational objectives while protecting the Company’s interests and minimizing its legal exposure.
