Position Description
The Legal Counsel, Energy/Power, EMEA is responsible for legal and corporate governance in support of Vantage’s power projects across EMEA. Vantage is frequently engaging with Transmission System Operators (TSOs), Distribution Network Operators (DNOs) and Independent Distribution Network Operators (IDNOs) and/or their equivalents across EMEA, in order to secure the required connection, import capacity and infrastructure needed to power Vantage’s data centers. As part of these engagements the business is required to enter into connection offers, framework agreements (e.g. CUSC), bilateral connection agreements, construction agreements, metering agreements, energy supply agreements and various others. The role will require the candidate to manage all legal aspects of such power arrangements, utilizing external counsel where appropriate, in order to support the business in negotiating and agreeing such contracts, all the time managing and controlling risk whilst facilitating Vantage’s developments being delivered at pace. In addition to providing excellent legal expertise and support, the candidate must bring a proactive, business and solution-oriented mindset to legal matters, an enterprise lens and a proven ability to work collaboratively across the organization and specifically within the Vantage EMEA power team. Ideal candidates for this role will have both in-house and law firm experience, strong business and power acumen, a desire to take ownership of their area of legal responsibility (i.e. Power and Infrastructure) and experience in continuous improvement and driving enhancements that benefit the Company.

Duties

  • Review (or where appropriate arrange for external review) of various power-related agreements and advise the business of material risks and items to be addressed in order to proceed with such agreements.
  • Where external review has been instructed, manage the external lawyers to ensure appropriate level of review and then interpret and report to the business the material risks, if any, flowing from such external advice/review.
  • Supporting the business in closing off/negotiating any legal/commercial items that need to be addressed prior to entering into power related agreements.
  • Strategic advice on the corporate structuring of Vantage’s power arrangements so as to ensure that such arrangements align with corporate governance and are as future-proofed as possible.
  • Take ownership of all power-related legal matters and develop an efficient way of working with the business to support timely and effective conclusion of such matters.
  • Support global legal strategy for commercial contracts with contractors, consultants, suppliers and customers, including contract management and governance.
  • Work closely and coordinate with colleagues in the Legal team covering other areas, such as Site Acquisitions, Operations and Customers.
  • Support the legal department in ongoing continuous improvement initiatives and standardisation of working practices across the region.

Job Requirements

  • Solicitor with UK legal qualification.
  • Preferably 7+ years of relevant post qualification legal experience preferred, but more junior candidates with comprehensive experience may be considered.
  • Experience within the energy sector and ideally experience of the process of obtaining a connection with the National Grid or other equivalent NETSO (National Electricity Transmission System Operator). Familiarity with electricity connection offers and agreements and novation of the same, as well as an understanding of contestable and non-contestable works.
  • Experience of working in an in-house legal team preferred.
  • Self-motivated with the ability to operate independently. Ability to navigate seamlessly between being highly strategic and hands-on approach.
  • Proactive and solution oriented with the ability to identify opportunities for improvements within legal practices.
  • Excellent organization and problem-solving skills that enable the successful candidate to juggle multiple responsibilities at once and consistently meet tight deadlines in a fast-paced environment.
  • Experience of projects in other jurisdictions, particularly EMEA, would be beneficial.
  • Proven ability to work with diverse, cross functional teams including global interactions.
  • Strong written and verbal communication skills. Well-rounded corporate/commercial lawyer who is also practical and business-minded.
  • Strong communication, negotiation and legal writing skills. Excellent interpersonal and management skills.
  • Experience in supporting group compliance activities, including developing policies, providing training and monitoring.
  • Experience within the data center or telecommunications industry would be of benefit, but not required.
  • Impeccable integrity, credibility, character and ethics.
