Corporate attorney possessing skill sets and experience adaptable across a broad range of corporate matters, including customer and other commercial arrangements, strategic initiatives enabling growth and innovation, new technologies, intellectual property, partnership ecosystems, dispute resolution/litigation, risk management, regulatory compliance, and ethics and compliance. Reports to Senior Corporate Counsel, Legal, Ethics and Compliance, UK & International. Market competitive compensation.

Basic Qualifications

  • Qualified to practice law in England and Wales.
  • Minimum five years PQE law firm or in-house legal experience.
  • Significant experience with a wide variety of commercial arrangements.
  • Solid experience with a broad range of legal issues spanning corporate practice.
  • Experience of working in a dynamic B2B sales or similar environment

Preferred Qualifications

  • Experience in the technology, services/consulting and reseller industry, with experience in IP, TUPE, XaaS, data protection and IR35.
  • Successful track record working with U.S.-based multinational public companies.
  • Experience working in, degreed or licensed in civil and/or hybrid law jurisdictions and living and working in countries outside of the UK.
  • Language capability beyond English

Responsibilities:

Commercial Arrangements

  • Collaborate with global cross-functional internal and external teams to contribute end-to-end legal and business value for customer, supplier/partner and other commercial arrangements, including deal structuring, negotiation of complex cross-border contracts, document drafting, regulatory positioning and approvals.
  • Assist in developing a scalable framework for customer and other commercial arrangements relying on smart, consistent, streamlined, technology-supported processes and tools to maximize efficiency and quality of experience for CDW and customers.
  • Work with global and international commercial Legal, Ethics and Compliance teams and Sales stakeholders to develop an efficient and scalable approach for building multi-jurisdictional customer and supplier/partner arrangements including guidance, templates, checklists, training and supporting technology.
  • Develop metrics for measuring impact and progress due to continuous improvements in deal processes and execution along a continuum of factors, including time to revenue, cost of sale, and impact of user-friendly artifacts.
  • Coordinate closely with Legal, Ethics and Compliance coworkers worldwide to negotiate global agreements with customers, partners and suppliers.
  • Support the procurement tendering process, particularly with regard to large-scale complex Public Sector deals and advising on the Public Contracts Regulations 2006 and Public Procurement Law.
  • Collaborate with global cross-functional internal and external teams on ongoing operational matters and integration initiatives, including compliance, real estate, employment and corporate governance.

Strategic Initiatives

  • Support offering portfolio evolution by helping to (1) evaluate strengths, weaknesses, opportunities and threats of each new offering, (2) develop an intelligent and balanced go-to market approach, (3) reduce friction in deal cycles, and (4) enable and industrialize sustainable growth and innovation.
  • Assist in enabling expansion of relationships with strategic alliance partners, accelerating partner-influenced capabilities and revenue growth.
  • Support development of policies, processes, templates, tools and training to foster strategic partnerships, portfolio evolution, disruptive innovations, transformational initiatives, regulatory compliance and other aspects of CDW’s strategic growth.

Compliance and Ethics

  • Under direction of Global Compliance and Ethics, assist in managing the full scope of ethics and compliance areas, including anti-corruption, money laundering, competition, trade, national security, data protection and digital ethics.
  • Assist in investigations and related reporting and remediation measures.
  • Work with Global Compliance and Ethics team to develop policies, processes, templates, tools and training aligned with enterprise-wide standards established by Global Compliance and Ethics.
  • Shape commercial arrangements in accordance with applicable regulatory requirements, drawing on internal and external subject matter experts.
  • Stay abreast of regulatory developments to identify commercial opportunities as well as assure compliance.

Dispute Resolution and Litigation

  • Under the direction of Global Litigation team, assist in fact finding, legal research, collaboration among stakeholders and case management to resolve claims, disputes and litigations.
