Legal Counsel, Supplier, Global Contracts

JOB SUMMARY

Equinix is seeking a Legal Counsel, who will be primarily responsible for drafting, drafting and managing supplier agreements or buy side contracts for all aspects of Equinix’s data center and corporate operations.

QUALIFICATIONS

  • 5+ years PQE with experience in two or more areas directly relevant to this role as identified in the ‘Primary Roles and Responsibilities’ section above
  • Strong ability to identify business concerns of both parties to the transaction and be able to creatively ascertain and draft bespoke contract provisions to solve for those concerns in a way that mitigates legal risk while accomplishing business objectives
  • Demonstrate ability to learn quickly, work independently and juggle multiple projects concurrently
  • Must be comfortable with working in a matrix reporting organization
  • Ability to work with tight deadlines
  • Exercise good judgment in identifying issues that require escalation
  • Good people skills to work closely with individuals at all levels and in all areas of the organization, including external legal counsel
  • Support of a Procurement team in the past is preferred
  • Good organizational skills, and a very strong attention to detail is required, as is strong computer skills (MS Word, Excel, PowerPoint, Sharepoint/ other database/contract management systems)
  • Articulate, with great communication and drafting skills and highly effective in English. Being effective in a second language would be an advantage to support second language contracts

Responsibilities:

  • Review of various forms of supplier contracts to be entered into by Equinix for the support of Equinix’s business globally, with an emphasis in the EMEA and APAC regions, across a number of different business functions, including Data Center Operations, Design and Construction, IT, Marketing, HR, Finance, Procurement, and others
  • Negotiate and draft supplier contracts, both on Equinix and supplier paper, including overall support and management of non-standard contractual/legal matters in supplier contracts, working in conjunction with Procurement and/or business function personnel
  • Manage the full deal cycle, including contract negotiation, engagement of Procurement, collaboration with business stakeholders, and management of stakeholder and deal approvals
  • Provide legal advice to internal stakeholders while demonstrating a keen understanding of procurement considerations and work closely with and provide strategic guidance to the business on procurement matters, including senior management across the organization
  • Perform contract research and interpretation and provide legal advice and guidance on issues arising under supplier contracts such as terminations, novations, dispute resolution, and amendments and renewals
  • Assist in the on-going support, maintenance and use of the Legal’s contract life cycle management system, and any other related systems used by business and Legal teams relating to supplier contracts, such as Sharepoint, etc
  • Act as a champion of Legal and Procurement processes, policies and initiatives within Equinix
  • Engage with business stakeholders in the drafting and management of Equinix supplier templates and contracting playbooks
  • Train business requesters on Equinix’s risk profile and the legal terms and conditions relevant for Equinix’s supplier contracts, including Equinix’ “must have” legal clauses
  • Participate in and contribute to global legal initiatives and project working groups to scale and maximize the effectiveness of One Legal
  • Support for supplier contract review, integration and supplier management issues arising out of Equinix M&A and Joint Venture activities
  • Advise on, facilitate, and manage resolution of any legal threats to Equinix’s business interests, including support for disputes and any subsequent litigation and/or settlements that may arise with regard to Equinix’s supplier relationships
  • Liaise with other colleagues working in the global One Legal team and cross functionally
  • Manage external legal counsel when necessary or when local law input is required to provide legal support for the various activities referred to above
  • Handle any other matters as required by the Senior Director, Supplier, as instructed from time to time including where relevant, project managing a deal or issue, taking care of data and reporting and supplier contracts including where obligations flow into customer contracts
