REQUIREMENTS

  • German Lawyer / Syndikusrechtsanwalt (m/w/d) with at least 5 years of professional experience gained in the financial industry or in a company of substantial size and complexity, ideally in a corporate secretary capacity
  • Profound knowledge of German corporate law (in particular the German Stock Corporation Act) and banking laws and regulations
  • Fluent in English (oral and written)
  • Ability to provide effective guidance on banking legislation and policy topics to colleagues from all functions and levels, including C-suite executives of Standard Chartered Bank AG and its parent Standard Chartered Bank
  • Strength in handling multiple tasks in parallel, outstanding organisational skills
  • Thorough approach to drafting and reviewing of documentation and preparing communication for shareholder meetings in a target-group oriented way
  • “Hands on” mentality and a strength to execute pragmatic solutions
  • Work collaboratively with the other members of the Corporate Secretariat team of Standard Chartered Bank AG, but also by proactively contributing to the Group Corporate Secretariat (GCS) function of Standard Chartered Bank.

Responsibilities:

OUR ROLE

To further strengthen the growth of our European business, we are looking for a German law qualified Corporate Lawyer / Syndikusrechtsanwalt to join our team as Director, Corporate Secretariat (m/w/d) at Standard Chartered Bank AG in Frankfurt, Germany.
Standard Chartered Bank AG is a fully licensed bank headquartered in Frankfurt am Main, with branches in France, Sweden and Poland. In this role you will be integral part of the Legal and Corporate Secretariat team and will report to the Head of Legal of Standard Chartered Bank AG.
You will work closely with the senior management of the bank on all corporate governance matters. You will advise the Chief Executive Officer and the Management Board as well as the Supervisory Board and support the bank as part of the Corporate Secretariat team on the design, implementation and handling of the end-to-end Management and Supervisory Board processes as mandated by the German Stock Corporation Act, the German Banking Act and other applicable rules and regulations. Your technical legal and organisational skills will be equally important as your ability to adequately present complex legal requirements in English language in a target-group oriented way and your ability to work as part of a team.

RESPONSIBILITIES

  • Trusted advisor to the Management and Supervisory Board on all corporate legal matters
  • Provide timely and relevant guidance to the directors and senior management on the application and interpretation of legislation, banking codes, corporate governance guidelines and policies relating to the business of the Company
  • Ensure that the Company complies with all relevant policy, statutory, legal and regulatory requirements on Corporate Governance, including filings and regulatory disclosures
  • Handle the end-to-end board processes, ensuring that board packs are aligned with applicable legal requirements to ensure that the Board members have the required information basis for their decision making
