Description:

POSITION SUMMARY:

The position will work as one of a team driving global subsidiary compliance and management for the company, including annual filings, the formation, merger and dissolution of legal entities and support of tax department on company reorganisations.
This UK based role will support European based business leaders and legal counsel in maintaining subsidiary governance and compliance requirements across Europe.
Hybrid working based at our Inchinnan site or remote working is available for the right individual.

REQUIRED QUALIFICATIONS/EXPERIENCE:

  • Must have a proven track record working within the corporate legal function in a multinational corporate environment and be adaptable to working with different cultures and nationalities.
  • Experience working with CSC Entity Management preferred but use of an alternate entity management software system is acceptable.
  • Occasional travel predominantly in Europe may be required for meetings.

PREFERRED QUALIFICATIONS/EXPERIENCE:

  • ACG (formerly ACIS) with Post Qualification Experience and exposure to corporate transactions and entity rationalisation activities. Alternatively, a solicitor with PQE focused in corporate and company law.

Responsibilities:

  • Support the business with targeted Company Secretarial and governance/compliance support;
  • Assist in production of AGM, board & shareholder communications for an entity portfolio within EMEA;
  • Prepare, and co-ordinate and file local regulatory filing submissions, relating to annual compliance;
  • Maintain directorship appointments, including preparation of associated documentation & reports;
  • Work with local HR representatives on director appointments;
  • Work directly with staff and advisors to facilitate subsidiary formations, capital changes, dividend payments, reorganisations, including but not limited to shareholder changes and dissolutions;
  • Co-ordination & consultation with business units, legal advisors, auditors, finance, treasury, tax authorities, service providers across multiple jurisdictions on matters of governance and compliance matters in Europe;
  • Provide support with ad-hoc project work
