Our client is an established public listed company with a global presence, looking for a Legal Manager to be part of the legal team in KL.

REQUIREMENTS
Minimum Qualification : LLB/Bachelor of Laws
Minimum years of experience : 12 years after being called to the Bar + 5 years in PLC

This position is only open to Malaysian citizens.
Responsibilities:
- Document Preparation
- Prepare legal documents for execution by the Company and/or customers of the department, subsidiaries and other departments.
- Drafting, reviewing, commenting and propose amendment for review and clearance by the Head of Department for execution by relevant parties.
- Legal Advisory & Compliance
- Provision of legal advice, its applications and enforceability and to clarify any vagueness on points of law, dispute or proceedings threatened against the Company.
- Provide updates in laws and any changes to existing laws and regulations to the Company and officers of the Company and/or customers of the department.
- Monitor and review records and transactions submitted by customers of the department in order to identify potential or actual problem of non-compliance.
- Advice supervisor identified errors, improper conduct or compliance exceptions to regulatory requirements.
- Identify and assist the supervisor to resolve conflicts of interest that arise involving the Company or customers of the department.
- Merger & Acquisitions
- Assist supervisor with review, comment, negotiation and amendment of the contents of prepared documents.
- Highlight to the supervisor/Company and/or customers of the department, the legal implications, enforceability and compliance of laws.
- Participate in proposals preparation including due diligence to ensure proposals are in compliance with laws and authority given to the Company and/or customers of the department.
- Financing
- Assist supervisor with review, comment, negotiation and amendment of the contents of prepared documents.
- Highlight to the supervisor/Company and/or customers of the department, the legal implications, enforceability and compliance of laws.
- External Liaison
- Liaises with external legal firms to convey the request and decision made by the Company and/or customers of the department.
- Liaises with external advisors including financial advisors in relation to corporate exercises proposed to be undertaken by the Company and/or involving the Company and/or customers of the department.
- Management and Administration of the Department
- Prepare and submit monthly report on the progress of assigned work;
- Prepare, review and propose comment and finalise the Policies and Procedures of the department and such other policies and procedures to be used by the department.
- Monitor and ensure compliance and adherence of the Policies and Procedures of the department by the staff of the department and the Company and/or customers of the department.
- Report to the supervisor any non-compliance of the Policies and Procedures.
- Prepare for proposal and review by the supervisor, budget for the department.
- Review the update on the development of projects of which assistance had been requested for by the Business Development division and/or other customers of the department.
