The Impact You’ll Make in this Role

As a Legal Specialist, Corporate Governance & Entity Management, you will have the opportunity to tap into your curiosity and collaborate with some of the most innovative and diverse people around the world. Here, you will make an impact by:

• Engaging Solventum subsidiaries with their annual governance and compliance process and other corporate legal resolutions, including Directors & Officers and other event driven changes
• Engaging the local legal entity directors by drafting or collaborating with outside vendors to draft corporate governance documents, such as agendas, resolutions, consents, minutes and notices of meeting and maintaining the documentation in the company’s CSC database
• Performing other paralegal functions as assigned, including assisting with corporate governance matters and handling administration of certain contracts
• Supervising and directing the work of 3rd-party service providers for corporate and subsidiary governance
• Maintaining Solventum’s corporate records to ensure accuracy and completeness
• Partnering with Legal, Treasury, Finance and Tax teams on governance aspects of corporate reorganizations/restructurings and serving as a resource on corporate and subsidiary governance matters
• Helping streamline and manage corporate governance processes and compliance risks

Your Skills and Expertise

To set you up for success in this role from day one, Solventum requires (at a minimum) the following qualifications:

• Bachelor’s Degree or higher from an accredited university AND seven (7) years of corporate registration procedures in the UK/Netherlands and coordinating with foreign legal counsel on maintenance of foreign subsidiaries experience in a private, public, government or military environment

To set you up for success in this role from day one, Solventum requires (at a minimum) the following qualifications:

• Bachelor’s Degree or higher from an accredited university AND seven (7) years of corporate registration procedures in the UK/Netherlands and coordinating with foreign legal counsel on maintenance of foreign subsidiaries experience in a private, public, government or military environmen

Additional qualifications that could help you succeed even further in this role include:

• Ability to thrive in a fast-paced, deadline-driven environment
• Experience demonstrating ability to work on own, control a high volume and complex workload and know when to escalate issues to management
• Solid proofreading skills
• Comfortable handling sensitive issues confidentially and diplomatically
• Proficiency in Excel (can maintain complex spreadsheets) and PowerPoint
• Experience coordinating complex tasks with multiple team members with a strong focus on collaboration
