JOB DESCRIPTION:
We seek a commercial counsel with an entrepreneurial mindset. Reporting to the Director, Legal, the ideal candidate has 2-4 years of legal experience, which may include law firm, in-house, and/or government experience. The candidate should be comfortable drafting and negotiating commercial contracts, with some experience in either fleet contracts or energy services transactions, such as power purchase agreements or energy savings contracts.
The candidate will work in fast-paced startup environment and will be comfortable taking on an array of matters. However, the primary focus in this role will be to collaborate with Highland’s sales team and counterparties to drive the sales process from solicitation response to executed contract.
QUALIFICATIONS
- 2-4 years as practicing attorney;
- Excellent commercial negotiation and contract drafting skills;
- Excellent business and legal judgment and the abilities to work flexibly with a variety of internal and external stakeholders and to manage multiple matters simultaneously;
- Ability and availability to work at least two (2) days a week in-office at the company’s Beverly, MA, headquarters; but, for highly qualified candidates, fully remote work may be considered;
- JD, with membership in at least one U.S. state bar (MA preferred);
- Eligible to work in the United States (visa support not provided).
Responsibilities:
- Draft and negotiate transportation equipment services agreements;
- Draft and negotiate other contracts supporting sales (LOIs, NDAs, teaming arrangements);
- Provide pragmatic, business-minded guidance on contract-related issues;
- Assist with special projects, including RFP responses for vehicle electrification-as-a-service; and
- Support development of contract lifecycle management software.
- Develop support materials and provide trainings to educate the sales and channel teams on contract terms and other legal issues;
- Establish scalable contracting strategies and tools in coordination with sales team;
- Support financing and M&A matters, including response to due diligence inquiries; and
- Support Fleet Operations team on project development and construction matters
