Description:
Vital Materials has an exciting opportunity for an experienced Merger & Acquisitions Specialist to help support the execution of the company’s business growth strategies. The ideal candidate will have 7+ years of experience in an M&A role with a proven track record of sourcing, evaluating, structuring, negotiating, and closing attractive opportunities for mergers, and acquisitions. This is a key strategic role, working closely with the Managing Director, responsible for driving all aspects of M&A transactions focused on profitable growth and expansion.
EXPERIENCE:
- Ideal candidates should have a minimum 7+ years’ experience in M&A and corporate finance, inside industrial companies, M&A boutiques, or investment banks.
- Experience in the chemical industry or the equipment manufacturing industry is a plus.
- Proven M&A experience, including sourcing, building deal pipeline, drafting, reviewing, and negotiating LOIs, term sheets, merger agreements, stock purchase agreements, asset purchase agreements, letters of intent, and related transaction agreements.
- Ability to identify, quantify and mitigate risks; realize opportunities.
- Strong organizational, problem-solving, and leadership skills.
- Execution focused mindset with a high level of initiative.
- Ability to multi-task and work in a very fast-paced environment.
- Team-oriented with excellent interpersonal skills and ability to develop collaborative working relationships across multiple functional areas in the organization.
- Ability to work with all levels of management and key stakeholders.
- Excellent communication skills, both verbal and written.
- Proven ability to handle multiple projects and meet deadlines.
EDUCATION:
Bachelor’s degree in finance, economics, business administration or other relevant field from an accredited college or university in the U.S or a comparable foreign university; MBA or master’s degree preferred.

Responsibilities:
- Identification and qualification of acquisition targets based on Vital’s strategic perspectives for its four divisions. Initial contacts with the targets to assess their “availability for sale.”
- Conduct research, analysis, and recommendation of acquisition targets for senior management.
- Provide assessment on the strategic fit, synergy potential, and key risks to enable the executive team to make well-informed investment decisions.
- Prepare strategic data research, analysis, and financial models to create an estimate of potential profitability and or valuation required in the strategic analysis for a given transaction.
- Lead in conducting and managing a thorough due diligence process across various functional areas to assess strategic impact and risk for active and prospective acquisitions.
- Prepare presentations and analysis necessary to obtain investment and stakeholder and executive approvals.
- Coordinate and lead M&A project teams to ensure appropriate communication and coordination throughout due diligence and drives post-close integration.
- Perform various internal reporting and other administrative functions as required to support the execution of transactions and post-close finance and accounting requirements.
- Identification of relevant partners (lawyers, consultants, etc.) to successfully conclude M&A transactions. Establishment of relationships with relevant investment bankers, active in Vital’s industries.
