The lawyers on our Corporate & Finance team provide tailored, practical, and innovative advice to help organizations achieve their objectives. They help clients that are in early conversations about company formation; are seeking to raise capital; and need guidance concerning real estate, governance, tax, or compensation and benefits matters. And they work with clients that are looking to execute their growth, restructuring, or exit strategy – or are a lender or an arranger of capital raising.
Paralegal Clerks who work in the Corporate & Finance practice group provide paralegal support to lawyers across the U.S. during all phases of corporate transactional processes.
Subject to the supervision of the attorney(s) responsible for the matter, Paralegal Clerks may assist in such tasks as: file collection, gathering and indexing, as well as logistical coordination efforts related to the various transactions.
This position has a billable requirement of 1,650 hours per year and will be located in the New York office.

JOB DESCRIPTION

  • General corporate work including handling corporate formation and organizational matters, stock transfers, board minutes, and other general corporate matters;
  • Create and maintain capitalization records;
  • Assist with major corporate transactions, including venture capital investments, capital markets transactions and mergers & acquisitions;
  • Maintain closing files for various types of corporate transactions and compile closing sets and assist with transaction closings;
  • Prepare and file UCC Financing Statements and descriptions of collateral;
  • Prepare and file Section 16 notices, securities exemption notices and other securities filings;
  • Prepare memoranda regarding statutory requirements for filing of corporate documents with Departments of State and IRS;
  • Assist with filing of documents with government entities;
  • Perform research of UCC and laws governing business organizations;
  • Retrieve public records;
  • Perform diligence review and draft analyses of corporate public records;
  • Perform UCC/lien searches;
  • Maintain corporate minute books;
  • Coordinate document retrieval from government agencies and prepare government filings;

  • Other duties as assigned.

REQUIRED SKILLS

  • Intellectual curiosity and a willingness to learn;
  • Strong written and verbal communication skills;
  • Comfortable conducting internet-based research;
  • Excellent attention to detail;
  • Ability to work efficiently in a fast-paced environment and ever-evolving environment, with or without direct supervision;
  • Coordination of multiple projects, individually and amongst a team; and
  • Sound judgment in decision-making, high integrity, and utmost respect for confidentiality.

EDUCATION, CERTIFICATIONS, AND/OR EXPERIENCE

  • Familiarity with basic corporate documents, including resolutions and organizational documents;
  • Bachelor’s degree preferred;
  • Paralegal certificate desirable.

HOURS

Core hours are Monday through Friday, 9:00 a.m. to 5:30 p.m. (including lunch hour) with flexibility for overtime as needed,
This job description sets forth the authorities and responsibilities of this position and may be changed from time to time as shall be determined.
The annualized salary range for this position is $53,775 to $58,075 depending on the candidate’s overall experience and other job-related factors permitted by law. Full time employees may be eligible for a discretionary bonus. In addition, full time employees as well as some part time employees, will be eligible for the firm’s fringe benefits as they currently exist.
