Description:
LEADERSHIP ACCOUNTABILITIES
- Key Duties above are performed to a standard of excellence – ex. documents are drafted with a negligible error rate and are presented professionally (i.e. standardized formatting).

Responsibilities:
§ Maintaining corporate minute books, including: (i) annual compliance filings and resolutions, (ii) minute book updates following corporate transactions, (iii) ensuring minute book software (ALF Corporate) is complete, accurate and optimally utilized (including digitization) and (iv) ensuring seals, physical minute books and other original corporate documents are organized and accessible.
§ Completing ABCA transactions and making associated filings at Alberta Corporate Registries (up to and including CORES Level III) – most commonly, incorporations, dissolutions, director/officer changes, amendments to articles and amalgamations.
§ Completing basic corporate transactions (most commonly, non-arm’s length share transfers and share transfers on death).
§ Completing resolutions and other documents pertaining to year-end corporate distributions (ex. ordinary dividends, eligible dividends, capital dividends, share redemptions and designation of deemed dividends etc.).
§ Drafting documents (most commonly, share exchange agreements and authorizing resolutions) for tax-driven reorganizations of corporate groups.
§ Completing due diligence for corporate transactions, including (i) reviewing minute books and preparing minute book reports using document automation software and (ii) reviewing due diligence searches and preparing due diligence reporting using document automation software, for lawyer review.
