POSITION DESCRIPTION:

We are currently looking for a junior professional to work on a flexible hybrid-remote schedule in our Transactions Services team from our Bad Homburg office. This Analyst would report directly to the head of the Transactions Services arm of our Legal & Compliance function based in New York, and be responsible for the onboarding of investments across our global investment function for our private fund and separate managed account clients.

QUALIFICATIONS:

  • Bachelor Degree in Business Administration, Legal & Economics, Law, or paralegal degree/ certificate.
  • Minimum of 2 years experience in private equity, financial services, or law firm
  • Experience with AML/KYC, corporate recordkeeping, and formalities and/or financial transactions
  • Ability to discuss and make recommendations on transactional and contractual matters.
  • Outstanding organizational skills with high level of engagement.
  • Strong relationship building and interpersonal skills with positive attitude and ability to work in a team environment.
  • Strong written and verbal communications skills.
  • Strong computer skills are required.
  • German and English language skills required; French preferred

Responsibilities:

  • Review fund legal documents, subscription documents, AML documents, and side letters for internal compliance and ensuring that the information is complete and accurate prior to execution.
  • Coordinate and synchronize the administration of the entire life cycle of a private equity fund both internally and externally, including, but not limited to: formation and liquidation of entities.
  • Complete and process corporate actions, such as fund extensions, requests for amendments of agreements and blocker elections.
  • Maintain records for all investment legal documentation and events, including, but not limited to: committee elections, amendments, extensions, etc.
  • Review investment-related contracts, process, coordinate and maintain corporate legal filings, organizational charts and firm-wide signatory policies.
  • Assist with signature execution and processing of agreements and other documentation
  • Monitor of HQ Capital deal closings.
  • Interact with various internal business unit(s) and outside counsel as required throughout the transactions to assist in managing the transactions and varieties of legal matters.
  • Special projects as needed.
