SUMMARY
eClerx is seeking a dynamic and detail-oriented Proxy Voting Analyst to join our team. As a Proxy Voting Analyst, you will play a crucial role in executing proxy voting activities, ensuring compliance with regulatory requirements, and representing the interests of our clients in corporate governance matters. ELIGIBILITY REQUIREMENTS
- Bachelor’s degree in Finance, Business Administration, Economics, or related field.
- 2+ years of experience in proxy voting, corporate governance, or related fields within the financial services industry.
- Strong understanding of corporate governance principles, proxy voting guidelines, and regulatory requirements.
- Excellent analytical skills with the ability to interpret complex proxy proposals and evaluate their implications.
- Exceptional attention to detail and accuracy in executing proxy votes and maintaining voting records.
- Effective communication skills, both verbal and written, with the ability to articulate voting rationales and interact professionally with clients and internal stakeholders.
- Proficiency in Microsoft Excel and other relevant software applications.
- Professional certifications such as Certified Proxy Solicitor (CPS) or Chartered Financial Analyst (CFA) a plus.
- CH/EU national or relevant working permit for Switzerland

Responsibilities:
- Proxy Voting Execution: Execute proxy voting decisions accurately and efficiently, ensuring timely submission of votes in accordance with client guidelines and regulatory requirements.
- Research and Analysis: Conduct in-depth research and analysis of proxy proposals, corporate governance issues, and environmental, social, and governance (ESG) factors to inform voting decisions and recommendations.
- Client Engagement: Collaborate closely with clients to understand their proxy voting preferences, provide guidance on best practices, and address inquiries related to voting policies and procedures.
- Regulatory Compliance: Stay abreast of evolving regulatory developments and industry standards pertaining to proxy voting, shareholder rights, and corporate governance, and ensure adherence to relevant regulations and guidelines.
- Stakeholder Communication: Communicate effectively with internal stakeholders, including portfolio managers, analysts, and compliance professionals, to facilitate alignment on proxy voting strategies and outcomes.
- Data Management: Maintain accurate and comprehensive records of proxy voting activities, including vote rationales, disclosures, and voting histories, utilizing appropriate systems and tools.
- Continuous Improvement: Identify opportunities for process enhancements, automation, and efficiency gains in proxy voting operations, and contribute to the development and implementation of best practices.
