HMH is looking for a Regional Senior Counsel who will manage legal issues related to the HMH regional business in Norway, and also serving Europe and other international locations. This is a senior counsel role and involves leading the negotiations, drafting and revising of customer commercial contracts with private and state-owned energy companies, drilling contractors and shipyards, as well as agreements with suppliers and third-party representatives. You will handle legal issues related to contract and project execution, managing litigation and intellectual property in the region (with the support of external counsel), assisting the Chief Compliance Officer with issues related to global compliance. Further, you will be supporting our Corporate Development team in mergers & acquisitions, supporting with communication with industry regulators as required, managing outside counsel, advising leadership generally on legal matters and risk mitigation, and a wide variety of other issues that affect and impact HMH and the industry in the region.
Join our Legal & Compliance Team
Our Legal Team takes responsibility for drafting, reviewing and negotiating customer and supplier contracts, purchase orders, leases, licenses, and agreements for global mergers, acquisitions, joint ventures, and strategic investments, managing HMH legal entities, administering and managing the global insurance program, and leading enterprise-wide compliance. We provide support across all product companies, collaborating closely with all legal teams. We partner with the business to provide advice, guidance, and action to ensure the success of the future of our business. Responsibilities include:

  • Providing legal advice and support to the company on a wide range of legal issues, including contracts, corporate governance, compliance, and regulatory matters.
  • Drafting, reviewing, revising and negotiating various agreements, such as commercial contracts, vendor agreements, and employment contracts.
  • Managing and mitigating legal risks by identifying potential issues and developing strategies to address them.
  • Staying updated on relevant laws and regulations affecting the company’s operations and ensure compliance with them.
  • Representing the company in legal proceedings, including litigation and alternative dispute resolution.
  • Collaborating with internal stakeholders, such as executives, managers, and other departments, to provide legal guidance and support business initiatives.
  • Working with external legal counsel when necessary and managing the company’s legal budget effectively.

Qualifications:

  • Law Juris Doctor (JD) degree from an accredited law school in Norway and admission to the Norwegian Bar. LLM in the United States a plus.
  • Proven experience (5+ years) as a corporate attorney, preferably with in-house counsel experience. Experience in manufacturing or the oil & gas industry is a plus.
  • Strong Proficiency in terms & conditions in standard oil & gas, oilfield services and/or industrial contracts (indemnities, warranties, etc.).
  • Strong knowledge of corporate law, contract law, employment law, and regulatory compliance.
  • Familiarity with M&A transactions, NDA’s, LOI’s and related agreements a plus.
  • Excellent communication and negotiation skills (English and Norwegian, other languages a plus).
  • Keen cultural awareness and sensitivity regarding persons from diverse cultures around the world
  • Ability to work independently and as part of a team, with a proactive and solution-oriented approach to legal issues.
  • In-depth knowledge of the oil and gas industry is a plus.
  • Excellent organizational skills and attention to detail.
  • Ability to provide creative and compliant solutions while managing multiple priorities.
