The Company Secretarial function leads, develops and manages corporate governance throughout the Group. As principal advisors to the boards of directors on corporate governance matters, the team also holds responsibility for establishing and managing stock exchange listings; directing and managing shareholder meetings and equity raisings, and representing Group interests in the development of laws and regulations.
We are currently seeking a high calibre professional to join our team as a Senior Assistant Company Secretary.
Principal Responsibilities

This role supports the HSBC Singapore Company Secretary and Head of Corporate Governance in delivering the Corporate Governance & Secretariat function activities. This includes acting as the Company Secretary for HSBC legal entities and providing corporate governance advice to the Board of Directors, and advising on the corporate governance regulatory requirements for corporate structure activities.

  • Support in all aspects of company secretarial support (including planning, scheduling, review of relevant materials submitted to Board and Board Committees and all associated governance) for the HSBC Singapore entities’’ Board and Board Committees
  • Support and ensure adherence to, and the effectiveness of, the Subsidiary Accountability Framework (“SAF”), including escalation and information flows within the HSBC Singapore entities and their respective Principal Subsidiaries, and that board policy and procedures are followed
  • Manage the induction process for new Non-Executive Director ("NEDs")
  • Assess ongoing development and training needs of NEDs and manage the provision of appropriate development programmes to support the continuous effectiveness of the HSBC Singapore entities’ Boards and its Committees
  • Support HSBC Singapore’s implementation of Group’s governance initiatives, projects and digital solutions
  • Support the Board of Directors, its Committees and senior management of HSBC Singapore entities on corporate governance and statutory, regulatory and company law requirements as well as best practice requirements and standards

Requirements

  • Qualified company secretary or lawyer with extensive experience in regulated industry.
  • Financial services experience is desirable but is not essential. However, candidates must have experience working in a regulated industry.
  • Technical precision really matters, attention to detail is key and drafting must be to the highest technical standards
  • Relationship building is an essential part of the role, managing stakeholders and proven ability to work with senior leadership is required
  • Resilience and ability to adapt to the changing environment, demonstrating clear personal accountability
  • Collaboration and working as part of a broader team to ensure a coordinated and consistent approach
  • Contributing towards a high performance culture with a values driven mentality
  • Strong management and communication skills are vital
