Position Overview
We are looking for a senior corporate paralegal with more than eight years’ experience who wants to get in on the ground floor of an expanding legal team. That paralegal will report directly to the Chief Legal Officer and will work closely with the entire Legal team, Apex’s senior management, and all of Apex’s departments. Our mission is to support the Company’s explosive growth; identify and mitigate hidden risks; help protect the brand and build a “fortress company;” and ensure legal and regulatory compliance.

Job Description – Corporate Paralegal
Mission of the Role
This will be a critical early member of the growing Apex Legal team and a key partner to Apex’s Chief Legal Officer. We are looking for an experienced, dynamic, self-motivated, highly organized paralegal. This team member must have a broad background in general corporate matters including commercial contracts, governance, and acquisitions. The position requires sharp analytical skills and a strong attention to detail. This corporate paralegal must show great initiative and have a service mindset with the ability to work directly with internal clients.

Job Responsibilities

  • Assist in the preparation and review of corporate documents, commercial contracts, leases, and purchase agreements.
  • Support the governance matters of many companies, including maintaining their company records books and assisting in the drafting of corporate documents.
  • Support all manner of transactions including strategic, acquisitions, and financial with due diligence reviews, data room organization, and post-closing actions.
  • Support the Chief Legal Officer in various other matters.
  • Assist in the drafting, reviewing, and editing of various materials, documents, and reports to ensure accuracy and completeness.
  • Collaborate with the Legal department in its efforts to support the other departments throughout Apex.

Experience

  • High school diploma or GED (minimum requirement).
  • Bachelor’s degree (preferred).
  • Eight years or more as a certified paralegal working on corporate and transactional matters.
  • In-house experience preferred but not necessary.
