Amentum, a global engineering, project management and solution integrations company, seeks a top-flight Senior Counsel and Assistant Secretary for its Chantilly, VA headquarters. The Senior Counsel will provide hands-on advice on a wide range of matters including mergers and acquisitions, securities laws compliance and corporate governance and secretarial requirements. This position reports directly to the Senior Vice President, General Counsel and Secretary.
Qualified applicants will have at least six years of substantive law firm and/or in-house legal experience handling mergers and acquisitions, securities laws compliance and corporate governance/secretarial responsibilities.
Experience in public company reporting, SEC disclosure, corporate governance and corporate secretarial functions
Significant transactional experience, including mergers and acquisitions, divestitures, joint ventures and strategic alliances
Corporate finance experience, including debt securities, revolving credit agreements and letters of credit
Background in legal entity management for both domestic and international subsidiaries is preferred.
Familiarity with government contracting environment a plus
Applicants must be able to work productively in a fast-paced, highly dynamic environment with minimal supervision
Superb written and verbal communication skills
The candidate will work on a broad range of general corporate and commercial matters. Draft and review various securities filings, such as Form 10-K, Form 10-Q, Form 8-K, Forms 3, 4 and 5, proxy statement and others, pursuant to the Securities Act of 1933, Securities Exchange Act of 1934 and the NYSE listing standards. Candidate will advise on various securities law matters including Section 16 issues. He or she will also advise on various corporate governance matters (including Sarbanes-Oxley Act), develop and maintain sound corporate governance policies and implement legal controls and policies to ensure good corporate governance practices.
The candidate will prepare proposals and other documents for consideration by the board of directors and board committees and provide general support to the board on a range of corporate governance and secretarial matters.
The candidate will also have strong experience in mergers and acquisitions and work closely with the Strategy and Corporate Development group and business units throughout the acquisition and post-closing integration process. Active management of outside counsel as appropriate.
The candidate will also support Corporate Finance and Treasury functions by providing advice on debt financing arrangements, letters of credit, corporate guarantees and share repurchases.
The role will have responsibility for management of subsidiaries, joint ventures, foreign branches and investments, including U.S. and foreign legal filing requirements.
Experience with executive compensation and equity-compensation plans is desirable.

J.D. from accredited law school
Admitted to at least one state bar
