KEY REQUIREMENTS

  • Recognised Australian legal qualifications & eligible to practice law in New South Wales
  • At least 5 years post qualification experience across financial services. Particularly in superannuation and investments and corporate law disciplines. A Top-tier/mid-tier law firm experience highly valued
  • Highly experienced in Financial Services law with retail expertise, particularly in connection with superannuation and/or platforms and /or managed funds, as well as general corporate.
  • A good understanding of the regulation of financial advisers and distribution also highly regarded.
  • Excellent influencing skills (including senior stakeholders) and an ability to create and build effective working relationships with colleagues, business and functional teams.
  • Deep understanding of the Corporations act, specifically Chapter 7.
  • Strong experience reviewing and drafting a range of contractual documents and legal correspondence.
  • Flexible and willing to apply your skills to products, issues and legislation
  • Strong time management skills and be able to deliver quality outcomes on time and that do not require material re-work
  • Great team spirt and enthusiasm and willingness to contribute to broader legal team and business initiatives

Responsibilities:

THE ROLE

We have a exciting opportunity available for an experienced Senior Legal Counsel to join the HUB24 Group Legal Team. The role is a 12 months fixed term contract until May 2025 and can be located in Sydney or Melbourne.
You will primarily be supporting and working with the HUB24 platform and distribution business relating to superannuation, managed investment schemes, IDPS, IDPS-Like and managed discretionary account products. You will also be supporting and working with the HUB24 platform and distribution business in respect of the administration, reporting and technology services it provides to other financial product issuers. You may also be asked to support HUB24’s technology businesses (data as a service, software as a service business).
You will need to be able to hit the ground running and work autonomously within a team environment which is fast paced, dynamic and transactional in terms of making things happen.

KEY RESPONSIBILITIES

  • Disclosure document review and drafting e.g. PDSs, IDPS Guides, FSGs, TMDs, Application Forms
  • Adviser and investor communication reviews
  • Product documentation, Product development including product feature T&Cs and structuring support for the Product development Team
  • Business integrations following acquisitions
  • Contract reviews, drafting and negotiation e.g. administration agreements, custody agreements, technology agreements, platform user agreements, IMAs, service provider agreements
  • Distribution arrangements, Fee disclosure advice and disclosure document drafting
  • FUA transitions to HUB24 products or services, product structuring, including integration structures
  • Re-pricing arrangement advice, disclosure and contractual arrangements
  • Transactional work e.g. joint ventures/partnering arrangements
  • Legal advice e.g. Ch7 of the Corporations Act, AML, Privacy, ACCC
  • Legal support for the Risk & Compliance Team
  • Regulatory change matters, management of external legal service providers and participation in FSC working groups
  • Website reviews and related disclosures, conflicted remuneration advice,
  • Presentations e.g. contract negotiation, regulatory change
  • Board paper reviews and drafting
