Role/Department:
We are looking to recruit a senior lawyer to fill the role of Senior Legal Counsel and Senior Vice President supporting Northern Trust’s asset servicing business in the UK and our Middle East region. Reporting to the Assistant General Counsel responsible for the UK asset servicing legal team, the role will be part of a team of 6 asset servicing lawyers and will be based in the legal department in London. Northern Trust’s legal department consists of more than 85 lawyers worldwide, including 25 lawyers located in EMEA.
The key responsibilities of the role include:

The successful candidate will provide legal support to Northern Trust’s asset servicing business units in the UK and Middle East, with particular focus on global custody, but also fund services, wealth management and related services;

  • Principal responsibilities will include:
  • advising business partners, including senior level management, from a position of knowledge and experience across all product lines;
  • reviewing, commenting and advising on RFP responses; drafting and negotiating Master Custody, Account Control, Depositary, Fund Administration and other agreements relevant to the services provided to Northern Trust’s asset servicing clients, working with external counsel where necessary;
  • liaising with other colleagues in the legal department (both in EMEA, APAC and the US) supporting Northern Trust’s asset servicing business units globally and external counsel to maintain a consistent approach to the policies of the bank in connection with the provision of the services;
  • updating and maintaining standard template agreements relevant to the services provided to Northern Trust’s asset servicing clients in the UK and Middle East region in compliance with the policies of the bank including working with external counsel where necessary;
  • supporting strategic projects and new product initiatives, including participating in Product and Service Risk Reviews;
  • engaging with and supporting Compliance and Risk Management in analysing the requirements of new laws and regulations impacting the businesses and the implementation of processes and procedures in order to comply with such requirements.

Skills/Qualifications:

The successful candidate will benefit from having:

  • Ideally the person will be a senior lawyer who is currently working either in a reputable and recognised financial services practice or a large UK financial institution and be looking for the next step up in your career.
  • As the role offers breadth across global custody, fund administration and wealth management, having exposure to one or more of these businesses would be advantageous.
  • Knowledge of the Middle East region, in particular the Saudi Arabian and Abu Dhabi Global Market would be extremely beneficial, but is not a requirement.
  • A person with:
  • strong integrity and an ethical sense;
  • strong commercial/pragmatic sense and understanding of business needs;
  • excellent written and verbal communication skills;
  • excellent inter-personal skills; and
  • excellent organisational and analytical skills.
  • Detailed knowledge of market driven and regulatory initiatives that impact the custody offering across a range of jurisdictions/client types/asset classes.
  • Excellent contract drafting and negotiation skills across a broad suite of contracts, ideally with specific experience of the documents and agreements referred to in the principal responsibilities section above including negotiating with large financial institutions and their appointed external counsel.
  • A self-starter who is flexible and able to work independently and has the ability to prioritise and work to set deadlines within a challenging environment.
  • Strong commercial/pragmatic sense and understanding of business needs.
