SKILLS/EXPERIENCE:
To be considered for this role you will have:
- 8-12 years’ PAE corporate law experience with demonstrated experience across M&A and corporate work as described above;
- exposure to clients in mining/resources, infrastructure etc will be highly regarded;
- high attention to detail;
- exposure to in-house is preferred including secondment experience; and
- a commercial approach and good communication skills with the ability to build relationships across the business.
Responsibilities:
ABOUT THE ROLE:
Working in an effective legal function you will work closely with the General Counsel and executive members of the corporate development team. Day to day, your role will include:
- advice and assisting on mergers and acquisitions, divestments, joint ventures and other strategic arrangements with a particular focus on renewable energy projects (wind, solar, hydro and power stations);
- advising on infrastructure related agreements (including port and rail contracts);
- due diligence and preparing due diligence reports for acquisition targets and commercial opportunities;
- company secretarial functions including ASIC reporting, preparing company resolutions, drafting board/joint venture papers and minutes of meeting;
- assisting and advising the finance function (accounting, tax and treasury);
- assisting the contracting and procurement functions;
- managing external counsel; and
- business as usual commercial and corporate advisory work as required by the business.
To be considered for this role you will have:
