The Boeing Company is looking for a Senior Manager of Corporate Development to join our team in Seattle, WA or Arlington, VA.
The Corporate Development Manager acquisitions, divestitures, joint ventures and other equity investment transactions (collectively Mergers and Acquisitions (M&A) projects) at Boeing. The role leads members of the Corporate Development team assigned to the M&A project and works closely with members of the sponsoring business unit and subject matter experts from over 15 internal supporting Functions (Law, Human Resources, Intellectual Property (IP), Environmental, etc.) on execution of key tasks supporting M&A projects, including transaction structuring, due-diligence, valuation, negotiations, project approval and closing. Substantively, this role leads valuation assessment and supporting financial analysis, due diligence execution and synthesis of findings, and the development of materials to support internal communication to senior leaders.

BASIC QUALIFICATIONS (REQUIRED SKILLS/EXPERIENCE):

  • Bachelor’s degree or higher
  • 5+ years of M&A or directly related experience, including process management, valuation, and/or due-diligence
  • 5+ years of experience managing multiple high priority projects simultaneously, moving between project support and lead roles
  • 3+ years of experience conducting financial analysis and valuation, creating valuation scenarios and putting analysis and ideas in a presentation format for internal and external audiences
  • 3+ years of coordinating cross-functional teams, or equivalent experience

PREFERRED QUALIFICATIONS (DESIRED SKILLS/EXPERIENCE):

  • Masters of Business Administration
  • Experience making presentations to senior leadership and external stakeholders
  • Experience developing and leading enduring relationships with business unit leaders and external stakeholders
  • Strong project management skills, work ethic and sense of urgency
  • Experience sharing ideas and opinions and working collaboratively in a team environment
  • Excellent business judgment and strong analytical skills
  • Ability to build networks and effectively interact with internal and external stakeholders
  • Excellent written and oral communication; ability to articulate and present complex topics clearly and constructively; understands his/her audience

Responsibilities:

  • Lead and/or support transaction process planning and execution
  • Support business unit development of written strategic rationale and presentation of supporting business case
  • Oversee and execute financial modeling and valuation analysis
  • Coordinate cross-functional due diligence including market/industry dynamics, target company capabilities and performance, compliance practices and transaction consequences and risks
  • Ensure proper documentation and communication of key functional risk items and appropriate mitigation efforts
  • Identify and develop deal structure and negotiation strategy
  • Working closely with the M&A Law function, develop transaction documents and support the negotiation of terms with transaction counterparties
  • Coordinate the development and delivery of post-closing performance assessments; support implementation of approved process changes arising from lessons learned
  • Lead internal and external constituents through the M&A process and ensure effective communication of M&A activity
  • As requested, support business unit development and maturation of enterprise strategic priorities
  • Identify, develop and recommend continuous improvements to due diligence, valuation, integration and approval processes
  • Develop & maintain healthy relationships with key business unit and functional leaders
