On July 27, 2023, TC Energy announced the intention to spin off our Liquids Pipelines business and separate into two independent, investment-grade, publicly listed companies – TC Energy and South Bow. Please note that all hires will continue to be formally employed by a TC Energy employing entity until the separation is complete.
The Opportunity
South Bow’s Legal team is an integral part of South Bow, working collaboratively with other members of the broader business team to achieve the company’s goals while understanding and mitigating business and legal risks. South Bow’s Corporate Compliance team enables and enhances a culture of compliance, while working closely with our business partners to champion a culture of ethics and integrity at South Bow.
South Bow’s Legal team is seeking a dynamic and flexible Legal Counsel who has knowledge and experience in a broad spectrum of commercial legal work in support of business development, commercial and operational initiatives in the midstream oil industry.
The successful candidate would also be a member of South Bow’s Corporate Compliance team, playing a critical role in the development, maintenance, implementation and continuous improvement of South Bow’s corporate compliance programs. A background in some of the following core corporate compliance areas will be an asset: Corporate Ethics and Compliance including investigations, Corporate Compliance Policy, Avoiding Bribery and Corruption, Privacy, Customs and Trade, Inter-Affiliate Compliance, and Lobbying.
In the first year we expect the role to be more heavily weighted towards the corporate compliance function as South Bow continues to stand up, develop and refine its corporate compliance program. Over time, we expect the role to become more balanced between the commercial legal role and the corporate compliance role. However, South Bow’s business needs will ultimately determine how the successful candidate’s time will be split between the commercial legal role and the corporate compliance role.

What you’ll do

  • Provide commercial legal support for the development and marketing of capacity on new and existing midstream oil pipelines and related facilities.
  • Support all phases of midstream oil infrastructure development projects, acquisitions, and divestitures.
  • Provide support for other commercial initiatives relating to existing assets and new business development opportunities.
  • Draft and negotiate agreements in support of the foregoing, including open season processes, pipeline transportation services agreements (and related tariffs), tank services agreements, confidentiality agreements, memorandums of understanding/letters of intent, joint ventures agreements, limited and general partnership agreements, shareholders agreements, operating agreements, purchase and sale agreements, amending agreements, and various financial assurances.
  • Depending on the successful candidate’s qualifications and South Bow’s business needs, the role may include other commercial legal work in support of South Bow’s operations, such as procurement, land and real estate matters.
  • Other legal work as required.

Corporate Compliance Components

  • Collaborate with compliance partners from across the company, including HR, Legal, Internal Audit, Supply Chain and IS, to ensure appropriate governance and tools are in place to enable and support company personnel to comply with South Bow’s corporate culture and applicable legal requirements.
  • Supporting the development and maintenance of new and existing governance documents by assisting with research and benchmarking, consulting with subject matter experts and drafting governance content.
  • Proactively analyzing complex compliance issues and proposing solutions.
  • Assisting with data gathering, analysis, and report writing.
  • Facilitating company personnel’s understanding of corporate compliance related requirements, processes and initiatives.
  • Responding to compliance related inquiries from individuals and teams.
  • Supporting corporate compliance communication and training initiatives.
  • Supporting ethics helpline management and investigations.
  • Reviewing contracts to ensure appropriate compliance controls and measures are in place.
  • Supporting compliance risk assessment processes.
  • Creating and implementing company and corporate compliance department processes.
  • Providing backup to other members of the Corporate Compliance team.
  • Completing other tasks, as required.

Minimum Qualifications

  • Law degree from a Canadian law school or an ABA accredited law school
  • Membership or eligible for membership to the Alberta Bar
  • At least 10 years of total legal experience
  • Strong corporate/commercial legal skills, including demonstrated drafting abilities and strong negotiation skills
  • Highly organized and able to play multiple roles supporting diverse client groups and business functions
  • Ability to organize and complete complex tasks within tight deadlines
  • Effective communication and advocacy skills, both oral and written
  • Effective while working independently and in a team environment

Preferred Qualifications

  • Understanding of the midstream oil industry, including the applicable North American regulatory framework, and related commercial legal experience.
  • Non-legal energy industry experience.
  • Legal or corporate compliance experience in some of the core corporate compliance areas listed above.
