REQUIRED KNOWLEDGE AND EXPERIENCE

  • Law clerk diploma or equivalent
  • A member in good standing with the Institute of Law Clerks of Ontario
  • 10+ years of law clerk experience
  • Previous supervisory or mentorship experience an asset
  • Understanding of law firm operations
  • Proficiency with technology such as Closing Folders, online Ministry portals, document management (iManage an asset), and data rooms.\
  • Knowledge of cloud-based corporate databases (ex. MinuteBox)
  • Extensive knowledge of the Business Corporations Act (Ontario) and the Canada Business Corporations Act

Responsibilities:

TEAM LEAD RESPONSIBILITIES

  • Oversee and support workload distribution among law clerks and corporate search clerks, considering holidays, leaves, and vacancies
  • Proactively identifying upcoming client events (e.g., closings) where law clerk support may be required and coordinating the allocation of resources based on skill and availability
  • Clarify law clerk and search clerk time on files to billing lawyers and recommend premiums and write-offs
  • Actively engage and support with Lawyer’s questions and day to day support including forms, quotes, and queries
  • Support the Assistant Director, Corporate Services by assessing department practices and processes to improve efficiencies and identify continuous improvement
  • Support the Assistant Director, Corporate Services by identifying process effect of legislative changes and implementing within the department
  • Assess and identify areas for knowledge improvement and design webinars or materials to address
  • Assist with precedent management
  • Other projects and duties as assigned

SENIOR CORPORATE LAW CLERK RESPONSIBILITIES

  • Manage key client relationships
  • Assist Firm Lawyers on complex transactions
  • Draft corporate documents including: agreements, resolutions, complex share provisions, documents for various types of transactions including corporate and tax reorganizations, documents relating to incorporation and organization, amalgamations, complex amendments, continuances and dissolutions
  • Conduct due diligence and minute book reviews and prepare reports outlining issues and deficiencies
  • Attend meetings with clients and Lawyers to review documents and provide technical assistance
  • Coordinate the creation of and oversee electronic data rooms
